Public Offer On the Provision of Voluntary Charitable Donation +

1. DEFINITIONS
1.1. A Charitable Contribution (or Charitable Donation) is a voluntary and gratuitous donation in the form of monetary funds made by the Benefactor(s) to the Organization to support the achievement of its statutory objectives.
1.2. The Offer refers to the Organization’s public proposal, addressed to an indefinite number of persons, to conclude this Agreement under the terms specified herein.
1.3. Acceptance means the full and unconditional consent by the Benefactor to the terms of this Agreement.

2. GENERAL PROVISIONS
2.1. This public offer (hereinafter – the “Offer”) is issued in accordance with Article 641 of the Civil Code of Ukraine by Boryviter Center of Excellence, NGO (EDRPOU code 45421981), located at Ukraine, 03151, Kyiv, Ushynskoho Street, Building 40 (hereinafter – the “Organization”), represented by Executive Director Oleksandr Ivanovych Murzin, acting pursuant to the Organization’s Statute. This Offer is addressed to any legally capable individual or private legal entity (hereinafter – the “Benefactor”) who voluntarily engages in charitable activities and wishes to conclude a charitable donation agreement (hereinafter – the “Agreement”) under the terms provided herein.
2.2. This Offer becomes effective upon publication on the Organization’s website at https://boryviter.devbrainlab.com.ua/ (the “Website”). It remains in effect for an indefinite period and may be amended or withdrawn by the Organization at any time prior to Acceptance, by publishing the relevant information on the Website.
2.3. The Organization reserves the right to enter into individual charitable donation agreements on different terms. A Benefactor may contact the Organization separately to do so.

3. SUBJECT OF THE AGREEMENT
3.1. Under this Agreement, the Benefactor transfers funds to the Organization as a charitable donation, free of charge and voluntarily, to support the Organization’s statutory activities.
3.2. The amount of the charitable donation is determined independently by the Benefactor.
3.3. The Organization independently determines the purposes for which the donation is used, in line with its statutory objectives, unless otherwise explicitly specified by the Benefactor under the terms of this Agreement. This Agreement does not envision any direct or indirect profit for either Party.
3.4. Donations made under this Agreement are recognized as charitable donations in accordance with Article 6 of the Law of Ukraine “On Charitable Activities and Charitable Organizations.”
3.5. Benefactors may, if they so wish, specify a purpose for their donation by selecting among the Organization’s announced programs or objectives, including institutional support such as salaries or administrative expenses essential for fulfilling the Organization’s goals.

4. ORGANIZATION’S ACTIVITIES
4.1. The Organization carries out charitable activities as per its Statute.
4.2. The Organization does not pursue profit-making goals.
4.3. Reports on the Organization’s activities and use of funds are published on the Website.

5. MAKING A DONATION
5.1. The amount of the charitable donation is determined at the Benefactor’s discretion.
5.2. Charitable donations are voluntary and non-refundable.
5.3. Donations are used by the Organization to carry out and support its charitable activities, programs, and statutory objectives as defined in its Statute and applicable legislation. The Benefactor consents to this use.
5.4. Donation methods include:
– One-time payment;
– Subscription with monthly or annual payments in an arbitrary amount.
Subscriptions can be canceled at any time through the Benefactor’s payment platform (e.g., Privat24, Apple Pay, Google Pay, etc.).

6. RIGHTS AND OBLIGATIONS OF THE PARTIES
6.1. The Organization undertakes to use donations solely to achieve its statutory goals.
6.2. All use of charitable donations shall be conducted in strict compliance with Ukrainian law and the Organization’s Statute.
6.3. The Organization may determine the allocation of donations at its sole discretion, unless the Benefactor specifies a designated purpose in a separate agreement. If no purpose is specified, the donation is deemed intended for general statutory use.
6.4. The Benefactor has the right to request information about the use of their donation. The Organization may publish monthly financial reports on the Website and, upon written request, may provide supporting documents regarding the use of specific donations in accordance with legislation and this Offer.
6.5. By making a donation, the Benefactor affirms their legal capacity, the lawful origin of the funds, and that the funds are not subject to any encumbrance or legal restriction. If the Organization has reasonable doubts, it may request documentary confirmation of these affirmations.
6.6. The Benefactor has the right to receive information about the Organization’s programs and activities and to withdraw their consent to personal data processing at any time.

7. ACCEPTANCE
7.1. Acceptance of this Offer occurs upon the Benefactor’s transfer of funds via payment instruments available on the Website or directly to the Organization’s bank account. The date of fund transfer and/or credit to the Organization’s account shall be considered the date of Acceptance.
7.2. Acceptance is also deemed complete if a donation is made via www.liqpay.ua.
7.3. Making a donation signifies the Benefactor’s full and unconditional agreement with this Offer.
7.4. Acceptance confirms the Benefactor’s understanding and agreement that the donation may be partially allocated for administrative expenses, in accordance with applicable law.
7.5. Pursuant to Articles 639, 641, and 642 of the Civil Code of Ukraine, the Agreement is considered concluded upon Acceptance. The absence of a written form does not affect its validity.
7.6. The Organization processes the Benefactor’s personal data solely for the performance of this Agreement and as provided in its Privacy Policy.
7.7. The Organization ensures the confidentiality and protection of personal data in accordance with its Privacy Policy, available on the Website. The Benefactor may withdraw consent to data processing at any time by contacting the Organization.

8. CONFIDENTIALITY
8.1. The Organization shall not disclose information received from Benefactors, except as required by law.

9. FINAL PROVISIONS
9.1. The relations between the Benefactor and the Organization are governed by the laws of Ukraine.
9.2. The Organization’s liability for any breach of this Agreement shall be determined in accordance with the applicable law.
9.3. Any disputes shall be resolved through negotiations. If unresolved, disputes shall be settled by the courts of Ukraine in accordance with the law.
9.4. The Organization reserves the right to amend this Offer. Any such amendments will be published on the Website at least 30 calendar days prior to taking effect. Benefactors who do not agree with the amendments may withdraw their consent to participate in charitable activities.
